wala gaanong pros and cons bro. it's a matter of organizing your objects sa scene lang. Do a test and you'll find it yourself. It's like merging an object.
Siguro ang nakikita ko lang na advantage nito is kung madami kayo ang gumagawa sa isang scene. 1 guy is doing the table, the other 1 is doing the chair. tapos naka xref, pag hit render, sabay ang progress, sabay matapos, nakaposition na lahat sa isang area.

sa tingin ko very minimal lang. kasi same elements pa din ang irerender mo. Mas ok pa ang proxy kasi nakakatulong kahit konti.

What the proxy does is simply reference another object (read) which might be either too hi-poly to put up in a max scene. Proxies are pre-computed so that it does not take so much ram. Technically, it goes around the limitations in max where the machine basically hogs on multi-million polygon counts in the scene.
Xrefs are somehow the same thing but they reference a "live" max scene instead. It is somehow, interactive compared to a proxy which relies on a precomputed file.
Instances where you might use an xref - is when you need to draft an animation based on an object and the object is still in progress. Artist A can then proxy an "in-progress" max file for use in Animation while Artist B works on the model. Any updates on the original (model) max file of Artist B is then reflected real-time on Artist A's animation scene.
You cannot do this "realtime" thing with proxies because if you need to redo the proxiing process.
Xrefs are collaboration tools while proxies are rendertime substitutes.
BTW, there is a modifier version of this xref concept which references another object in the scene for use either in rendering or viewport previews. Its a nifty modifier called - (how clever!) , " Substitute"
